The 2025 ASC Corporate Finance Disclosure Report is now available

The Alberta Securities Commission (ASC) has shared its 2025 Corporate Finance Disclosure Report. Each year, the ASC Corporate Disclosure & Financial Analysis team conducts reviews of the disclosure made by reporting issuers (RIs) for which the ASC is the principal regulator and prepares this report to highlight key findings and insights to support compliance. Of course, accurate, timely, and reliable disclosure is critical to providing investors with the material information necessary for informed investment decisions and foundational to ensuring a fair, efficient, and thriving capital market.

This year, the ASC provides guidance on emerging disclosure issues they have encountered in relation to RIs engaged in businesses involving carbon credits, crypto assets, and artificial intelligence (AI). They also address the increasing use of non-offering prospectuses as a means of going public and the issues that have arisen in that context.

2026 Corporate Finance Disclosure Information Session

Join the ASC on Thursday, January 22, 2026, for an information session to explore the key findings and insights to support compliance in Alberta as outlined in the 2025 Corporate Finance Disclosure Report.

Key topics include:

  • Disclosure considerations in times of economic uncertainty
  • Discussion on related party transactions
  • Management cease trade orders (MCTOs)
  • Updates on the semi-annual financial reporting pilot project
  • Expansion of the listed issuer financing exemption (LIFE)
  • Proposed expansion of the self-certified investor prospectus exemption

The session will also provide attendees with regulatory updates, including the efforts by the Canadian Securities Administrators’ member jurisdictions to reduce unnecessary regulatory burden in the public markets and facilitate efficient capital formation, the implementation of the well-known seasoned issuer (WKSI) prospectus-offering regime, and more. A live Q&A will also follow the presentation.
